Evernorth's XRP Treasury Hangs on a Number Nobody Has Printed Yet

Wootoshi โ€ข โ€ข Security

There is a specific silence inside a proxy statement. It is not the silence of missing information. It is the silence of information that exists and has not yet been printed. On the evening of September 27, with XRP quoted at $1.54 and a redemption deadline roughly twenty-four hours away, the single most consequential figure in the Evernorthโ€“Armada transaction was simply not there.

I have learned to listen to the silence between market cycles. In the summer of 2017, before any of this was a career, I sat in a Seattle coffee shop with fifteen early-stage ICO contracts printed on paper and a legal pad, reading them line by line. Three of them carried reentrancy vulnerabilities that would have let an attacker drain a balance repeatedly before the ledger updated. Something like $200,000 in user funds stayed where it belonged because a handful of people were willing to read code nobody had asked them to read.

The lesson from that summer was never really about Solidity. It was that the most important structural fact in a crypto deal is almost always the one the promotional material has been arranged around not mentioning.

Evernorth is a digital asset treasury company. Its stated business is buying XRP and holding it on a public company's balance sheet. Its capacity to do that currently depends on a variable that, as of this writing, nobody outside the SPAC's transfer agent and its accountants has seen.

What Is Actually Being Assembled

Armada Acquisition Corp. II is a blank-check vehicle โ€” a special purpose acquisition company, or SPAC. It raised money in an initial public offering, parked the proceeds in a trust account, and went looking for a target. Evernorth Holdings is that target. When the merger closes, the combined entity becomes a listed company whose principal asset is a large position in XRP. The template is the one MicroStrategy built for Bitcoin, applied to a different token.

The mechanics of a SPAC matter here more than the marketing language does. Money raised in the IPO sits in trust and is invested in short-dated Treasuries. Public shareholders get a vote on the merger, and โ€” this is the part that decides everything downstream โ€” they get the right to redeem. Redeeming means taking your share of the trust back in cash and walking away, whether or not you approve of the deal. Whatever survives redemption is the cash the merged company actually has.

The capital stack assembled for Evernorth is not a single pile of money. It is four separate promises, each with its own conditions, and only one of which is genuinely immediate.

The SPAC trust held roughly $241.9 million as of August 20. This is the only unrestricted, already-in-the-bank cash in the structure, and it is also the only piece that shareholders can take back before it is ever spent. The redemption deadline fell on September 28; the merger vote was scheduled for September 30.

Second, a private pre-funding round of $214 million. Part of it has already been deployed: 84.4 million XRP purchased at an average price of $2.53657. Third, a $30 million convertible note carrying 4% interest payable in kind, maturing in 2031. Payment in kind means the interest is settled in additional securities rather than cash. The note funds only at closing, and its proceeds are designated for general corporate purposes โ€” a phrase that includes purchasing XRP and XRP-ecosystem activity without requiring either. Fourth, a contribution from Ripple itself of 126,791,458 XRP, roughly 27% of the expected post-close position.

Add it up and you reach the number the deal has been marketed around: at least 473,276,430 XRP. The word carrying the weight in that sentence is "least."

The choice of XRP as the underlying asset is not incidental. XRP has spent years as the most legally scrutinized large-cap token in the market, and it has emerged from that period with considerably more clarity than it entered. The XRP Ledger is a bridge-asset network with payment relationships that predate most of the current market cycle. For a treasury vehicle, that cuts two ways. It supplies a story about real utility rather than pure speculation, and it supplies a dependency problem, because the largest single contributor of the asset this company intends to hold is a company with its own agenda.

The Arithmetic, and Why the Ceiling Matters More Than the Floor

Here is the part worth doing slowly. The numbers are simple. The implications are not.

If nobody redeems, $241.9 million converts to roughly 157 million XRP at a $1.54 reference price. If half the trust redeems โ€” a mild outcome by post-2022 SPAC standards โ€” roughly $121 million remains after fees and interest obligations, buying about 78 million XRP. If the $30 million note funds at closing and is allocated entirely to XRP, that adds roughly 19.5 million tokens.

Total theoretical buying power therefore sits somewhere between zero and roughly $272 million โ€” and that ceiling assumes zero redemptions, zero fees, zero interest drag, zero working capital needs, and full allocation to XRP. Not one of those assumptions is made anywhere in the filings.

Put $272 million in context. XRP routinely clears billions of dollars in daily spot volume across major venues. A quarter-billion dollars of potential demand is not trivial. It is also not a floor, not a guarantee, and not a structural bid. The reporter who covered this transaction made the honest observation that neither outcome translates mechanically, dollar for dollar, into spot market demand. That sentence is the most important line in the story, and it is the one most likely to be quoted out of context by accounts that need it to mean something else.

Now examine the quality of the 473 million figure. It blends XRP that has been bought with XRP that has been promised. A related-party commitment is not automatically a weak commitment โ€” Ripple's incentive to see this vehicle succeed is obvious and real. But a commitment is a contract, not a settlement, and the gap between those two things is exactly the gap that gets smoothed over in a pitch deck and litigated in a downturn.

Then there is the mechanic almost nobody has discussed, and it is the one I would circle three times in red.

The Share Count Floats With the Price

Under the revised terms, the number of shares issued in connection with the transaction adjusts with XRP's volume-weighted average price. The numerator โ€” how much XRP the company holds โ€” is assembled at prices the market sets. The denominator โ€” how many shares represent claims on that XRP โ€” is also set by the market.

For a MicroStrategy holder, part of the appeal is the illusion of a fixed claim: a slowly growing pile of Bitcoin behind a share count that expands only at management's discretion. Evernorth's structure is more honest and less comfortable. Per-share XRP content is a moving target, and it moves against holders precisely when XRP's price is volatile in the direction that hurts.

The treasury premium that makes these vehicles work as fundraising machines depends on a stable relationship between the balance sheet and the share count. Here that relationship is explicitly dynamic. Any investor modeling a fixed XRP-per-share figure is modeling something the documents do not promise.

There is a fresher wound as well. The private pre-funding bought 84.4 million XRP at an average of $2.53657. At a $1.54 reference price, that tranche is worth roughly $130 million against a cost of roughly $214 million โ€” an unrealized mark-to-market loss on the order of $84 million, or about 39% of the round. The earliest, most committed capital in this structure is already underwater on paper.

A data caveat belongs here, because it matters for anyone acting on this. The secondary reporting on the transaction contains internal inconsistencies in its price and date references, including document dates that do not line up with the publication timeline. Before treating any figure as settled, pull the original SEC filings โ€” the proxy statement and the Form 8-K โ€” and reconcile them against the reporting. That is not a formality. In 2017, the contracts I flagged as dangerous were the ones whose documentation had been cleaned up just enough to read smoothly.

The regulatory layer is worth naming plainly. The equity here is conventional: SPAC shares, a convertible note, standard disclosure obligations. The interesting exposure is not in the wrapper. It is in the pipeline โ€” a public company whose balance sheet is overwhelmingly one token, whose largest supplier of that token is a related party, and whose returns depend heavily on management's timing of purchases. That is a structure securities regulators have historically found worth examining, and not in a flattering way.

The Wrapper Is the Story, Not the Asset

In 2020 I spent three months mapping liquidity flows across Uniswap and Aave, tracing roughly $500 million in capital movement and lining it up against Federal Reserve balance sheet expansion. What surprised me then was not that the correlation existed. It was how quickly retail participants built an emotional relationship with the correlation, as though the Fed were personally underwriting their yield farm.

In 2024 I led a small research team through the first three months of spot Bitcoin ETF flows. We counted roughly $15 billion entering through a wrapper that had not existed eighteen months earlier. The volatility profile of the underlying asset did not change at all. What changed was who could hold it, how it was custodied, and who collected the fee.

Every phase of crypto's institutionalization has been a wrapper story wearing an asset story's clothes. The trust. The futures contract. The spot ETF. Now the corporate treasury vehicle โ€” a structure that converts a public listing into a leveraged, reflexive holding company for a single token.

Evernorth is the first serious attempt to run that playbook on XRP rather than Bitcoin. That is the actual news. The $272 million is a rounding error against XRP's global liquidity. The precedent is not.

For anyone who has watched the digital asset treasury narrative migrate from Bitcoin to Ethereum to Solana to XRP over the past eighteen months, the pattern should feel familiar. The asset changes. The wrapper does not.

What the Redemption Rate Will Not Tell You

This is where I part company with most of the coverage.

The consensus framing is simple. High redemption is bearish; low redemption is bullish. Investors pulling money out means they do not believe in the deal; investors leaving money in means they do. Watch the number, read the sentiment, position accordingly.

I think that framing is close to backwards, and the reason has to do with who actually holds SPAC shares at the moment of redemption.

SPAC redemptions are, overwhelmingly, an arbitrage calculation. A shareholder who bought at the IPO holds a claim on a trust account. Redeeming converts that claim to cash, and the decision is driven by the spread between trust value and the share price, the time value of money, warrant terms, and expected holding period. Since 2022, base rates for SPAC redemptions have run extremely high across deals with wildly different targets โ€” 70%, 80%, sometimes above 90% โ€” regardless of whether the underlying business was excellent, mediocre, or imaginary.

A 90% redemption on Evernorth would tell you almost nothing about how the market feels about XRP. It would tell you a great deal about how SPAC arbitrage desks feel about the shape of this particular deal. Reading it as a sentiment referendum is a category error, and it is the category error most likely to generate a bad trade.

The inverse deserves the same skepticism. If the redemption rate comes in unusually low, celebrate carefully. The marginal SPAC holder who declines to redeem is frequently the holder with warrants, a forward purchase agreement, or a PIPE allocation โ€” someone whose economics make redemption unattractive rather than someone with conviction about digital assets. A low redemption number can mean a sweetened deal. It does not automatically mean a crowded one.

What the redemption rate genuinely reveals is narrower and far more useful: how much cash actually arrives at closing. That is an operational fact. It flows directly into the arithmetic above. Everything else being read into it is projection.

The Quiet Confession in the Convertible Note

One structural detail deserves more attention than it has received. The $30 million convertible note pays 4% interest in kind, in additional securities rather than cash.

In an environment where Treasury bills have been yielding north of 4%, issuing debt at a 4% PIK coupon is not a demonstration of strength. It is a record of negotiation. A borrower who can comfortably service cash interest generally does, because cash is cheaper and cleaner and preserves the capital structure. Opting to pay in kind signals an expected period during which cash is better held than spent.

Payment in kind is not a red flag on its own. It is a documentable statement about anticipated cash flow, written in the language of a term sheet. Combined with a redemption deadline that determines the actual cash at close, and a note that funds only if the deal closes, the structure describes a company with several conditional paths to solvency rather than one.

Why the MicroStrategy Comparison Breaks

The comparison that will be made a thousand times is MicroStrategy. It is a lazy comparison unless you specify which part you mean.

MicroStrategy worked because five things were true at once, and none of them is currently true for Evernorth. It had an operating software business generating cash. It had years of relationships with convertible debt buyers and preferred investors. It had a share price trading at a persistent premium to the value of its Bitcoin, which is what makes accretive issuance mathematically possible instead of merely dilutive. It had index inclusion, which forces passive flows into the bid. And it had a decade of capital markets access before it touched Bitcoin at all.

Evernorth currently has a trust account, a conditional note, a related-party contribution, and a share issuance formula that moves with the underlying. Those are not equivalent structures, and the difference is not a matter of scale. It is a matter of whether the reflexive loop that drives these vehicles has a floor underneath it. Price rises, which funds issuance, which buys more asset, which supports the narrative, which supports the price.

When that loop runs in reverse, treasury companies do not simply mark down. They lose the ability to issue, which removes the ability to buy, which removes the bid the narrative depended on. Every holder of a digital asset treasury should understand this about their own instrument before they need to.

I have watched this failure mode from closer than a spreadsheet. During the 2022 collapse I ran a dozen webinars on custody and verification for a university blockchain club, and the panic in those rooms was never really about technology. It was about people who had bought a claim without understanding who held the underlying. Price questions came second. Custody questions came first, every time. The Evernorth structure is that same question one layer up, wrapped in a public listing.

Where This Leaves the Cycle

I keep returning to the silence between market cycles, because that is where the actual information lives.

The Evernorth transaction is not primarily an XRP event. It is a test of whether the treasury-company wrapper โ€” the last and most leveraged innovation in crypto's institutionalization sequence โ€” can be extended from Bitcoin to everything else. If Armada and Evernorth close cleanly, if the merged entity trades at or above the value of the XRP behind each share, and if that premium holds for two quarters, expect imitators across ETH, SOL, and more XRP vehicles. Investment banks, custodians, and compliance vendors will build a business around servicing them. If instead the deal closes with heavy redemptions and trades at a discount to its own XRP-per-share, the wrapper dies here, and the casualty list will include vehicles that have not yet been announced.

One number releases first: the redemption rate. One number matters more: whether any portion of that $30 million note ever reaches an order book, or quietly becomes working capital.

The question worth holding onto is not how much XRP Evernorth can buy. It is what it means that a company whose entire thesis is accumulation must first prove, before it buys anything, that anyone will stay.
